Venstore

This seller contract by Venstore Kenya Limited (“Venstore”) consists of the following terms and conditions (“Terms”) and the Venstore Codes, policies, and guidelines, as may be amended by Venstore from time to time and which form an integral part of the terms upon which you may use the marketplace.
It consists of 2 parts: (1) Vendor/Seller terms and conditions and (2) the Venstore general terms and conditions of use of the marketplace for buyers and sellers.

1. Introduction

1.1. Venstore ("Venstore" or "we") operates an e-commerce platform consisting of a website and mobile application ("marketplace") for the sale and purchase of consumer products in Kenya ("territory").

1.2. These seller terms and conditions shall apply to all sellers on the marketplace, together with our general terms and conditions of use of the marketplace for buyers and sellers.

1.3. If you register with our marketplace as a seller:

1.3.1. you accept these seller terms and conditions, the general terms and conditions of use of the marketplace for buyers and sellers, and the Venstore codes, policies, and guidelines, as may be amended by Venstore from time to time and which form an integral part of the terms upon which you may use the marketplace;

1.3.2. we will ask you to expressly agree to these seller terms and conditions; the general terms and conditions of use of the marketplace for buyers and sellers; and the Venstore Codes policies and guidelines, by clicking to confirm that you agree (and such electronic signature shall be considered as an original signature for all purposes); and/or by physical signature, if required by the laws of the territory.

1.4. You may not register with our marketplace as a seller if you are an employee of Venstore or a family member of an employee of Venstore unless Venstore has approved the registration pursuant to its conflict of interest procedures.

2. Vendor Store

2.1. You must create a store on the marketplace to list your products. You will do this by

2.1.1. Submitting your store government issued certificate to Venstore.

2.1.2. Submitting your bank details to Venstore.

2.1.3. Submitting your tax compliance certificate to Venstore.

2.2. You are responsible for the content of your store, including the products you list and the information you provide about those products.

2.3. You must ensure that all products listed in your store comply with the requirements set out in these terms and conditions and the Venstore Codes, policies, and guidelines, as may be amended by Venstore from time to time and which form an integral part of the terms upon which you may use the marketplace.

2.4. Before going live, Venstore will review your store and products to ensure compliance with these terms and conditions and the Venstore Codes, policies, and guidelines.

2.5. Venstore reserves the right to reject, unpublish and/or delete any vendor store that breaches these terms and conditions.

3. Product Listing

3.1. When listing products on Venstore, sellers must comply with the following requirements:

3.1.1. All products must be authentic and as described

3.1.2. Product images must not contain other websites' brands to avoid copyright issues and should have white backgrounds where possible

3.1.3. All images must be clear and of high quality

3.1.4. Prices should be inclusive of shipping fees (maximum of 500 KES for large items)

3.1.5. Listings may be individually reviewed and approved, at Venstore's discretion, before publication on the marketplace

3.1.6. Venstore reserves the right to reject, unpublish and/or delete any listings that breach these terms and conditions

3.1.7. Vendors must accept full responsibility for the products they list on the website

3.1.8. Only products within specified marketplace categories may be listed

3.2. You must not advertise, buy, sell, or supply through our marketplace any product that:

3.2.1. Breaches any laws or regulations, infringes any person's intellectual property rights or other rights

3.2.2. Contains material that would contravene the rules on content in the general terms and conditions

3.2.3. Relates to drugs, narcotics, steroids, controlled substances, pornography, weapons, ammunition, or other prohibited items as specified in the Prohibited and Restricted Products Policy

3.3. Products will be reviewed by Venstore before being published on the marketplace.

3.4. Venstore reserves the right to reject, unpublish and/or delete any listings that breach these terms and conditions.

4. Shipping and Delivery

4.1. You are responsible for the shipping and delivery of your products to buyers.

4.2. You must ensure that your products are packaged securely to prevent damage during shipping.

4.3. You must provide accurate and up-to-date shipping information to Venstore and the buyer.

4.4. You must ensure that the buyer receives their products within the specified delivery time.

4.5. In the case of Pay on Delivery (POD) orders;

4.5.1. You must ensure that the buyer receives their products before making payment.

4.5.2. The buyer will pay for the products upon delivery to Venstore where the received money will be remitted to you after deducting the commission fee and other charges.

4.6. We recommend using the following courier service providers:

4.6.3. Easy Coach Courier

4.6.4. Guardian Angel Courier

5. Commission Structure

5.1. You will be charged a commission fee with respect of each sale made on the marketplace.

5.2. We reserve the right to charge commissions and/or fees in the event that the sale is not completed by the way of consideration for the costs of our services offered.

5.3. You are responsible for the payment of all taxes, levies, and other charges that may be imposed on the sale of your products.

5.4. We may vary the commission structure from time to time on prior notice to you.This will not affect any liability that has arisen prior to the date of such variation.

5.5. We reserve the right to charge commissions and/or fees in the event that the sale is not completed by the way of consideration for the costs of our services offered.

5.6. For more information about our commission structure, please refer to the "payments" page on your vendor portal.

6. Remittances

6.1. We shall collect payments from buyers in respect of each sale made on the marketplace and remit the same to you after deducting our commissions and as may be applicable any fees, charges, taxes, penalties, refunds and any other amount that you owe to us.

6.2. We shall remit the amount due to you by way of a cheque or bank transfer to the bank details you provided to us.

6.3. You are responsible for the accuracy of the bank details you provided to us.

6.4. We shall not be liable for any delay in remittance of the amount due to you if such delay is due to any act or omission on the part of your bank.

6.5. We shall not be liable for any loss or damage arising from any delay in remittance of the amount due to you.

6.6. We shall provide you with a statement of account via the vendor portal which shall be your record of all transactions including the proceeds of the sale of your products, deductions and remittances.

6.7. In the event that we hold insufficient funds in our account to remit the amount due to you, you agree to indemnify us against any loss or damage arising from such a situation.

6.8. We may delay or withhold any remittance to you if:

6.8.1. You owe us any amount;

6.8.2. We are required by law to withhold any amount;

6.8.3. There is any dispute relating to the sale of your products.

6.8.4. You have breached any of these terms and conditions or in the event of investigation by Venstore of potential fraud or other illegal activities.

6.9. In the event that the vendor disputes any transaction or statement of account, the vendor must notify Venstore in writing within 14 days of the date of the statement of account, failing which the statement of account shall be deemed to be correct.

7. Insurance

7.1. You are responsible for insuring your products against loss or damage during shipping.

7.2. You shall maintain in force a policy of insurance with an appropriate level of coverage in respect of your products under the terms and conditions of the policy.

8. Returns and Refunds

8.1. You are responsible for the returns and refunds of your products.

8.2. You must process all returns and refunds in accordance with our returns and refunds policy.

9. Account Management

9.1. You are responsible for the management of your account on the marketplace.

9.2. You must ensure that your account details are accurate and up-to-date.

9.3. You must not disclose your account details to any third party.

9.4. You must not use your account for any illegal or unauthorized purpose.

9.5. You must not use your account to engage in any activity that could harm the marketplace or its users.

10. Dispute Resolution

10.1. All disputes will first be escalated to the Venstore Customer Care Team.

10.2. Vendors agree to cooperate in resolving any disputes amicably and in good faith.

10.3. Venstore's decision will be final and binding on the vendors.

11. Termination

11.1. Venstore reserves the right to terminate vendor accounts for:

11.1.1. Breach of these terms and conditions or the Venstore Codes, policies, and guidelines;

11.1.2. Fraudulent or illegal activities;

11.1.3. Repeated violations of the terms and conditions;

11.1.4. Non-compliance with the terms and conditions;

11.1.5. Non-payment of any amount due to Venstore.

12. Data Privacy

12.1. You agree to comply with the Venstore Data Privacy Policy.

12.2. You agree to indemnify us against any loss or damage arising from your breach of the Venstore Data Privacy Policy.

12.3. If Venstore is sued, fined or otherwise incurs any costs as a result of your breach of the Venstore Data Privacy Policy, you agree to indemnify us against such costs.

12.4. If you wish to delete your data from Venstore, you can do so by contacting Venstore via the contact us page or via the email address info@venstore.co.ke.

12.5. If you wish to contact Venstore, you can do so via the means listed in section 12.4 above.
